Diodes Incorporated to Acquire ElevATE Semiconductor, Expanding Analog and Mixed-Signal Portfolio

Diodes Incorporated has announced that it has entered into a definitive agreement to acquire ElevATE Semiconductor, Inc. in an all-cash transaction valued at approximately $250 million.

Based in San Diego, California, ElevATE is a fabless semiconductor company focused on developing integrated circuits for the automated test equipment (ATE) market. The company specializes in highly integrated, low-power and high-density semiconductor solutions designed to address increasingly complex ATE requirements while helping customers reduce overall testing costs.

Key Benefits of the Acquisition

The proposed acquisition is expected to bring several strategic advantages to Diodes. By combining ElevATE's expertise in ATE IC technology with Diodes' broad product portfolio, manufacturing capabilities and global sales network, the companies aim to strengthen their presence in the rapidly expanding ATE market.

The transaction is also expected to have an immediate positive impact on Diodes' financial performance, including revenue, gross margin and earnings per share. During the first 12 months following the completion of the acquisition, ElevATE is expected to contribute approximately $50 million in additional revenue**. Over the following four years, revenue is projected to grow at a compound annual growth rate of more than 20%, while gross margins are expected to remain significantly above Diodes' corporate average.

Jan Gaudestad, CEO of ElevATE Semiconductor, described the transaction as a strong strategic fit, citing the two companies' shared performance-driven culture and commitment to quality. By combining ElevATE's high-density, low-power IC technologies with Diodes' extensive analog and power IC portfolio and global manufacturing footprint, the companies expect to establish a stronger position in the ATE semiconductor market.

The combined capabilities are expected to give customers access to a wider range of products, improve tester performance and accelerate the development of next-generation semiconductor solutions. The partnership should also enable ElevATE to expand its global reach, accelerate its product roadmap and scale the delivery of innovative ATE technologies.

The boards of directors of both companies, along with ElevATE's shareholders, have approved the transaction. Completion remains subject to customary closing conditions, including regulatory approvals. The acquisition is currently expected to close during the second half of 2026.
